2gnoMe Terms of Terms

Background

​Your organization, agency, school district or another Education institution (the “Customer”) and 2gnoMe (each a “Party” and collectively, the “Parties”) desire to bring together their respective strengths to launch the learning continuity offering (the “Offering”)  to the Customer’s educators, para-professionals, coaches, mentors, evaluators, principals and other administrators as appropriate (“End Users”) based on the required framework or set of standards (the “Framework” or “Frameworks”).

Customer Objectives

  1. Combine the Framework(s) with the Customer’s expertise and resources, on the 2gnoMe system;

  2. Provide a data-supported and higher-quality professional learning experience to more educators, based on individual strengths and areas of growth;

  3. Customize turnkey portal and aligned material with the Customer’s own learning requirements, resources and associated Professional Development Units (“PDUs”), as appropriate.

  4. Provide a structured and unified experience for authorized administrative users to capture observations, provide feedback, and personalize each End User’s learning experience.

  5. In addition, the 2gnoMe system can act as a library (catalog) of all professional learning resources and opportunities for the Customer, regardless of format or origin. By using the Framework as the organizing structure, the system can recommend highly tailored professional learning experiences for each End User. 

  6. Real-time secure End User dashboard, as well as detailed reports on End User engagement, professional learning activity, reflection and feedback, PDU goals and learning impact.

Term

  1. The Customer’s use of the license shall begin on the Approval Date and expire on June 30th of the following year (the “Term”), unless otherwise indicated in the Approval section of this Agreement. During the Term, the Customer may apply any or all licenses towards any of its End Users;

  3. 2gnoMe offers license agreements for terms of one (1), two (2), and three (3) years, each with associated discounts based on the selected duration;

  4. The specific pricing, number of licenses, and applicable discounts are determined separately for each Customer and outlined in the corresponding invoice. These Terms & Conditions take effect only upon the Customer’s final approval of the agreed-upon invoice.

2gnoMe License

​Each End User license includes the following*:

​

  1. Self-Reflection. Aligned to the Framework domains and components, self-reflection deepens understanding of the Framework and clarifies expectations.

  2. Feedback. All shared observations and feedback from authorized administrators in one place, organized by the Framework domains and components.

  3. Awareness Summary. Combines self-reflection with admin feedback, providing context to clarify strengths and areas for growth for each Framework component.

  4. Observations. Authorized admins can capture observations, linked to specific Framework components, and share with End User as needed.

  5. Formative and Summative Feedback. Authorized admins can provide targeted feedback for each Framework component.

  6. Library of Professional Learning Resources. Includes a catalog of learning resources curated by the Framework partner and approved content providers. Resources can come from anywhere and be hosted anywhere.

  7. Personalized Learning. Tailored resource recommendations based on individual Awareness Summary for each Framework domain and component. 

  8. MyLearning Plan. Unifies required and bookmarked resources alongside learning activities and assignments in one place.

  9. Learning & Coaching Groups. Data insights and tools to support flexible instructional and coaching models via self-paced and synchronous options.

  10. Journal. Facilitates open-ended reflection on goals, practices, as well as pre- and post-observations.

  11. Form. Organizes personal forms (e.g., Individual Learning Plan, Student Achievement, Pre- and Post-Observations) to streamline collaboration between learners and administrators, tracking and compliance requirements.

  12. Portfolio. Allows users to upload and categorize evidence of learning, linking it directly to the Framework Domains and Components.

  13. Goals & PDUs. Enables tracking progress against established goals, certification requirements and/or Professional Development Units (PDUs).

Integration 

  1. No integration is necessary to fulfill any part of this Agreement. 

  2. Future integration may include single-sign-on with the Customer’s SIS or LMS.

  3. Future integration work is billed at the rate of $150 per hour, subject to the Statement of Work specifying the scope of the project and the Customer’s written approval.

2gnoMe Performance Obligations

During the Term, 2gnoMe shall use its best efforts to provide the following services to support the Customer and its partners:

 

  1. Provide at no cost resources and support to onboard and launch the Offering, including 

    1. A template to import the Customer’s End Users.

    2. A template to import the Customer’s custom resources, if any,

    3. 24x7 Knowledge Base for End Users and administrators,

    4. Rollout templates and exercises for PD Coordinators and for End Users.

  2. Provide support in the Customer’s training of its personnel, as needed and as jointly determined by the Parties, at no additional cost;

  3. Provide and make available at no additional cost to the Customer all corrections, updates and upgrades made available by 2gnoMe from time to time to its licensees and customers, together with any Documentation and training in the use, administration and support for such correction, update or upgrade which may be appropriate;

  4. Provide the Customer with a reasonable level of support in addressing any problems or issues the Customers or End Users are having with or arising from the Products which the Customer’s personnel are unable to remedy, at no cost;

  5. Provide any information and support that the Customer may reasonably request from time to time regarding the use and administration of the Offering;

  6. Provide a customized version of the landing page, which may change in the future at the Customer’s sole discretion;

  7. Provide a detailed step-by-step instruction guide which shall include: (i) directions on how to create and customize the Customer Portals; (ii) the specific roles and duties of the Customer, 2gnoMe, and any other persons authorized and approved by the Customer; all of which may be updated from time to time.

 

 

Joint Performance Obligations

During the Term, the Parties agree to collaborate in the following areas: 

 

  1. The Customer agrees to provide 2gnoMe with:

    1. Feedback about the Offering and the portals, especially through the lens of the administrative-level user, and specifically about the portals’ usability, relevance and value to the Customer and its End Users

    2. A reasonable level of access to participating End Users to gather feedback about their experience with the Offering

  2. The Parties agree to meet at least once 2-3 weeks during the early phase of the rollout and then at least once every quarter.

  3. Release of any publicly-facing material by either Party requires approval in writing by both Parties.

 

 

Intellectual Property

The Parties recognize and agree that:

​

  1. Any and all Intellectual Property Rights contained in the Framework, including reflection assessment questions and vetted learning objects, methodologies, media and products, are the sole and exclusive property of the Framework provider and its approved partners; 

  2. Any and all Intellectual Property Rights contained in the Customer’s custom Framework, if any, including its reflection assessment questions and vetted learning objects, methodologies, media and products, are the sole and exclusive property of the Customer and its approved partners. 

  3. The Customer has all Intellectual Property Rights with respect to its website, the URL for the Customer’s website, the Offering landing page, Customer Portal, the questions it creates, and the learning from the Customer and its approved partners, before or after the date of this Agreement, with or without 2gnoMe’s assistance;

  4. Any and all Intellectual Property Rights contained in the Product, and any and all work product produced by the Parties related to the Product are the sole and exclusive property of 2gnoMe;

  5. Except for the license rights granted herein, neither Party shall acquire any ownership right or interest in or to any of the other Party’s Intellectual Property Rights by virtue of entering into this Agreement.

  6. Each Party agrees that it will not modify, reverse engineer, decompile, create other works from, or disassemble the Party’s software platform without the prior written consent of the other Party.
